ABOUT THE TOP-MANAGERS vs DIRECTORS PROJECT
The Top-managers vs Directors research
project focuses on the extent of managerial power, as well as on its control
by the board of directors. It is imperative that managers have a certain
freedom of action in order to guide the firm along the right path. At the
same time, the board of directors must be able to exercise a certain amount
of control in order to reduce the possibilities of serious mistakes or even
abuse. The balance that exists between these conflicting forces defines the
entrepreneurial dynamism of the firm, as well as the risks of «bad
governance» faced by a company.
